GENERAL TERMS AND CONDITIONS OF CONTRACT
Blu di Grado / Cena in Blu

Premises
These General Terms and Conditions of Contract govern the online sale of Admission Tickets to the event called "Blu di Grado / Cena in Blu" (hereinafter the "Event"), organized by the Event Holder "Consorzio Grado Turismo".
Before proceeding with the online purchase of the Admission Ticket, the Customer is required to carefully read and accept these General Terms and Conditions of Contract, made available in the dedicated section of the website "General Terms and Conditions of Contract".
Art. 1 – Definitions
Within the scope of these General Terms and Conditions of Contract, the following terms shall have the meaning respectively indicated; definitions in the singular shall also refer to the plural and vice versa:
· "Force Majeure Events": events beyond the control of the Seller, including but not limited to: adverse weather conditions, pandemic and epidemic events or other natural disasters, strikes, lockouts or other third-party industrial actions, civil unrest, riots, invasions, terrorist attacks or threats of terrorist attacks, war (declared or otherwise) or threat of or preparation for war, fires, explosions, storms, floods, earthquakes, subsidence or failure of public or private telecommunications networks;
· Customer: the person who, through the use of the Services, purchases remotely from the Organizer the Admission Ticket;
· Consumer Code: Italian Legislative Decree no. 206 of 6 September 2005, as subsequently amended and supplemented;
· General Terms and Conditions of Contract: the general terms and conditions of the Sales Contract between the Supplier and Customers, as set out in this document;
· Service Contract: the contract established between the Supplier and the Customer with regard to the provision of the Services;
· Sales Contract: the contract between the Organizer and the Customer for the sale of the Admission Ticket;
· Event: the event called "Blu di Grado / Cena in Blu", a dinner-show on the Lungomare Nazario Sauro in Grado, scheduled for 13 June 2026 (with an alternative date of 14 June 2026 in case of adverse weather conditions);
· Supplier: Emporio ADV S.r.l., with registered office in Udine, Vicolo Gorgo no. 8, Tax Code and registration with the Udine Companies Register no. 02119170302, which provides the Services through the Portal on behalf of the Organizer;
· Event Venue: the Lungomare Nazario Sauro in Grado (GO), the outdoor location where the Event takes place;
· Organizer: Consorzio Grado Turismo, with registered office at Calle Merlato 4, 34073 Grado (GO), VAT/Tax Code 01112810310, the entity organizing the Event, on whose behalf the Supplier concludes the Sales Contract with the Customer;
· Portal: the website https://www.bludigrado.it managed by the Supplier for the sale of Admission Tickets to the Event;
· Services: the services provided by the Supplier in relation to the conclusion of the Sales Contract between the Customer and the Organizer, concerning the booking and sale of the Admission Ticket;
· Admission Ticket: the document, including in digital format, issued by the Supplier on behalf of the Organizer, which entitles the Customer or the person designated by the Customer at the time of purchase to enter the Event Venue.
These General Terms and Conditions of Sale apply to all sales made through the website.
The purchase of Admission Tickets is permitted only to persons who have reached the age of 18. The User declares and warrants that they have reached the age of majority and possess the legal capacity required by law to accept the General Terms and Conditions and undertakes to comply with their provisions.
The submission of the purchase order by the Customer constitutes total and unconditional acceptance of the terms of sale published on the Website at that time. If the General Terms and Conditions are accepted on behalf of third parties (natural or legal persons, entities, associations or other subjects), the Customer declares and warrants that they have the powers of representation and, in any case, are legitimately authorized to accept the General Terms and Conditions, thereby binding the represented party.
Art. 2 – Subject Matter
These General Terms and Conditions of Contract apply to all online bookings and sales of Admission Tickets on behalf of the Organizers to Customers for the Event "Blu di Grado / Cena in Blu", carried out through the Portal.
Pursuant to Art. 51, paragraph 7, of the Consumer Code, the online publication of these General Terms and Conditions of Contract and the order confirmation provided by the Supplier to the Customer upon payment of the Admission Ticket shall constitute "confirmation of the contract concluded on a durable medium" and fulfilment of the conditions set out therein.
The Service Contract and the Sales Contract shall be deemed concluded when the Customer receives the purchase confirmation via e-mail, also containing a copy of these General Terms and Conditions of Contract (in full or by hyperlink) and the main information relating to the Admission Ticket purchased.
Art. 3 – Admission Tickets and Event
The Customer may access the Event Venue if in possession of a valid Admission Ticket purchased through the Portal or from a party authorized by the Supplier in accordance with these General Terms and Conditions of Contract. Otherwise, or in the case of a stolen, lost or duplicated Admission Ticket, the bearer of the Admission Ticket may not be authorized to access the Event Venue.
The Admission Ticket may not be transferred by the Customer to third parties. The Supplier shall not replace the Admission Ticket in the event that it is lost, mislaid, deteriorated, damaged or destroyed, or if it has been stolen or is even partially illegible.
The Admission Ticket is nominative. The Portal does not allow name changes, which may only be made by e-mail communication to info@consorziogrado.it in compliance with applicable regulations and within the time limits established by the Organizer.
The Supplier may at any time cancel, at the request of the Organizer and/or the Authorities responsible for public order and safety, Admission Tickets already issued, for technical and/or organizational reasons. In such case, the Customer is entitled to a refund of the face value of the Admission Ticket paid, excluding service fees. The refund shall be made in accordance with the methods and timing established by the Organizer.
The Supplier may at any time cancel the Admission Ticket where problems arise with regard to the actual payment of the Admission Ticket.
Art. 4 – Price of Admission Tickets
The price of the Admission Ticket for the Event "Blu di Grado / Cena in Blu" is set at €15.00 (fifteen/00) per person.
Admission is free for children up to 6 years of age (it is not necessary to purchase an Admission Ticket for children up to 6 years). For children over 6 years of age, a regular Admission Ticket at the indicated price is required.
The indicated price does not include service fees. The service fees (booking fee) applied at the time of purchase are borne by the Customer and are in no case refundable, as they remunerate the Services already provided by the Supplier.
Additional fees, when applicable, may vary according to the payment methods based on the management costs of the various payment Services. Any such surcharges are explicitly indicated in dedicated sections during the Admission Ticket purchase procedure.
Art. 5 – Payment Methods
The payment methods available to the Customer are those indicated in the payments section of the Website. If the Customer makes payment by credit card, the transaction shall take place through a secure site to which the Customer will be automatically directed after opting for this payment method.
Transactions shall be processed through the platform STRIPE Inc., with registered office at 510 Townsend St. – CA 94103 – San Francisco.
If the User selects a different payment method, they will be redirected to the websites of the chosen payment service providers and shall make the payment of the Amount according to the authentication and payment procedure provided and governed by such providers, in accordance with the terms and conditions agreed between the User and such providers, hereby authorizing the Supplier to receive the data.
In order to ensure payment security, Users are reminded that the chosen payment service providers may, through automated systems, request the User to verify the data indicated by the User before proceeding with the payment of the Amount. In the event of failed authentication of the data, as provided in the preceding paragraph, with consequent non-payment of the Amount, the order shall be cancelled and the Supplier shall not proceed with sending the Admission Ticket.
Transactions use high-security protocols.
Personal and confidential data relating to the payment method used (card number, cardholder, expiry date, security code) are encrypted and transmitted directly to the payment processor without passing through the website and servers used by the Supplier. The Supplier therefore never has access to and does not store data relating to the payment methods used by the User for payment.
Art. 6 – Bookings
The Portal may allow the Customer a limited period of time for payment of the Admission Ticket. In such case, the booking time is specified on the Portal pages dedicated to the Event.
Once the booking time has elapsed without the Customer having made payment, the relevant bookings shall be cancelled and the seats shall automatically become available again on the sales circuit.
Art. 7 – Collection of Admission Tickets
Purchased Admission Tickets are made available to the Customer in digital format by e-mail.
Art. 8 – Postponement, Cancellation of the Event and Refunds
The Supplier, as a mere provider of the Services and as a party acting on behalf of the Organizer Holder in relation to the sale of Admission Tickets, shall not, in any case, be liable for any postponement and/or cancellation or non-performance of the Event by the Organizer. In the event of postponement and/or cancellation of the Event by the Organizer, the Supplier shall communicate to the Customer, on behalf of the Organizer – on the Portal and/or via e-mail – the measures that the latter shall have adopted in relation to the refund of Admission Tickets for the cancelled Event.
In the event of automatic postponement or cancellation of the Event, the Customer may not request from the Supplier a refund of the Service fees, as such amount remunerates the Services already provided and is entirely independent of the subsequent performance by the Organizer of the service consisting in holding the Event.
The Supplier assumes no obligation to monitor and inform the Customer of any cancellation or postponement of the Event, the burden of verifying the actual confirmation of the Event remaining with the Customer.
Art. 8.1 – Automatic postponement from 13 to 14 June 2026
The Event "Blu di Grado / Cena in Blu" is scheduled for 13 June 2026. In the event of adverse weather conditions which, at the sole discretion of the Organizer, endanger the safety of participants or compromise the proper technical and scenic performance of the Event, the Event shall be automatically postponed to 14 June 2026.
The Customer acknowledges and expressly accepts that, in the event of postponement of the Event from 13 to 14 June 2026, Admission Tickets already purchased shall remain valid for the new date and no refund of the ticket price shall be granted. The purchase of the Admission Ticket implies acceptance of this condition, which constitutes an essential part of this contract.
Art. 8.2 – Definitive cancellation of the Event
Should the Event be definitively cancelled and rescheduled to a date other than 14 June 2026 – in the event that bad weather persists on the alternative date of 14 June 2026 or due to force majeure – the Customer shall be entitled to attend the event on the new date or to obtain a refund of the face value only of the Admission Ticket, at the sole expense of the Organizer (Consorzio Grado Turismo). Where the Organizer communicates the cancellation of the Event and the refund of the relevant Admission Ticket, if so delegated by the Organizer, the Supplier shall carry out the refund operations, in accordance with the timing and methods decided by the Organizer and to the extent that it has received the necessary funds from the latter.
Art. 9 – Exclusion of the Right of Withdrawal
Pursuant to Art. 59, letter n), of the Consumer Code, Article 52 of the Consumer Code does not apply to the Service Contract and the Sales Contract, as such contracts relate to the provision of leisure services to be performed on a specific date or within a specific period of performance.
The purchase of the Admission Ticket is therefore final and irrevocable, save only for the cases of definitive cancellation of the Event referred to in Art. 8.2.
Art. 10 – Organizer's Regulations
The Sales Contract is concluded under the conditions specified by the Organizer, when specified, which can be consulted in the dedicated section of the Event on the Portal. Acceptance of these General Terms and Conditions of Contract implies express acceptance also of the conditions relating to the Event when published on the Event page.
Art. 11 – Indemnification and Limitation of Liability of the Supplier
Art. 11.1 – General Exclusion of Liability
The Supplier (Emporio ADV S.r.l.), acting as the Organizer's agent for the sale of Admission Tickets, except in cases of wilful misconduct or gross negligence, shall in no case be liable for any loss, damage or cost, direct or indirect, of whatever nature, suffered or incurred by the Customer or third parties in relation to: (i) the sale of Admission Tickets; (ii) the holding, postponement or cancellation of the Event; (iii) access to the Event Venue; (iv) any breaches by the Organizer Holder of the Event.
In any case, the overall liability of the Supplier shall not exceed the amount of the price of the individual Admission Ticket purchased by the Customer.
Art. 11.2 – Organizer's Indemnification
Consorzio Grado Turismo, as Event Organizer Holder, shall indemnify and hold Emporio ADV S.r.l. entirely harmless from any and all claims, complaints, compensation demands or legal actions brought by Customers or third parties in relation to the non-performance, partial performance or postponement of the Event, as well as refund procedures, except in cases of wilful misconduct or gross negligence by the Supplier.
Art. 11.3 – Photography and Video Recording – Image Rights
The Customer acknowledges and accepts that the Event Venue area is subject to photography, video and audio recording carried out by operators appointed by the Organizer and/or the Supplier, for the purpose of documenting the Event and producing promotional content.
Participation in the Event implies consent to recording and subsequent publication of images and videos for documentary, promotional and institutional communication purposes of the Organizer and the Supplier.
Emporio ADV S.r.l. is expressly indemnified from any claims, compensation demands or administrative penalties arising from the recording and use of images of Event participants, within the limits set out in the privacy notice published on the Portal. The Supplier disclaims any liability for any violations of image rights attributable to information deficiencies caused by third parties.
Art. 12 – Prohibitions
Admission Tickets may not be used for political, commercial, advertising or other promotional purposes (such as, for example, as prizes in competitions or lotteries), without prior written authorization from the Organizer and/or the Supplier.
The Supplier, at its sole discretion, may order the removal from its circuits of any Customers who make unauthorized or otherwise inappropriate use of the Portal, including the Admission Ticket booking systems.
Art. 13 – Privacy and Personal Data Processing
The processing of Customers' personal data is carried out in compliance with Regulation (EU) 2016/679 (GDPR) and Italian personal data protection legislation. The Data Controller is Consorzio Grado Turismo and the Data Processor is Emporio ADV S.r.l. The complete privacy notice on personal data processing is available on the Portal.
The Customer acknowledges that photography and video recordings may be taken during the Event. The specific privacy notice relating to data processing for recording purposes is available on the Portal and will be displayed by means of appropriate signage at the entrances to the Event Venue.
Art. 14 – General Provisions
These General Terms and Conditions of Contract, the various provisions indicated in the stages of the distance selling process and the notices on the Admission Ticket constitute the entire contractual agreement between the Customer and the Supplier in relation to the sale of the Admission Ticket.
Should one or more provisions of these General Terms and Conditions of Contract prove inapplicable, the remaining provisions shall continue to have full effect.
The Service Contract, the Sales Contract and these General Terms and Conditions of Contract are governed by Italian law.
The Supplier reserves the right to amend the terms of these General Terms and Conditions of Contract, for example in the event of legislative changes, organizational or technical requirements. In such case, the Supplier shall publish on the Portal the new version of the General Terms and Conditions of Contract.
Future use of the Services by the Customer, after the amendment, shall constitute acceptance thereof.
Art. 15 – Jurisdiction
For all disputes arising in relation to the interpretation, performance and termination of the Service Contract, the Sales Contract and/or these General Terms and Conditions of Contract, the Court of Udine shall have exclusive jurisdiction, without prejudice to the jurisdiction of the consumer's court where applicable pursuant to the Consumer Code.
CLAUSES TO BE SPECIFICALLY APPROVED
(Articles 1341–1342 of the Italian Civil Code)
The Customer, pursuant to and for the purposes of Articles 1341 and 1342 of the Italian Civil Code, declares to have read and expressly and specifically approves the following clauses:
